Evercore, a renowned global independent investment bank, has announced its intention to acquire Robey Warshaw, a UK-based boutique bank, at the end of July 2025. This strategic move is expected to strengthen Evercore's presence in the UK market and expand its global reach.

Established in 2013, Robey Warshaw has built a strong reputation for its advisory services, particularly with some of Europe's leading multinational companies. Evercore's chairman and CEO, John Weinberg, expressed admiration for Robey Warshaw's extraordinary, long-standing relationships with these companies.

The acquisition deal is structured to be completed in two payments. The first will be made in Evercore stock at closing, with the second scheduled for the one-year anniversary, payable in either stock or cash. There is also the possibility of additional consideration based on Robey Warshaw's performance post-acquisition.

Simon Robey, co-founder of Robey Warshaw, shares Evercore's commitments to client service, excellence, integrity, and independent advice. He believes that this acquisition will provide Robey Warshaw's clients with greater global reach, broad product capabilities, and sector expertise, while still maintaining the personal attention and care they have come to expect.

Evercore anticipates that the acquisition will create new opportunities for client engagement across the EMEA region and globally. The acquisition is planned for completion at the beginning of the fourth quarter of 2025.

The transaction will expand Evercore's regional team to more than 400 bankers across nine countries. Evercore projects that the acquisition will contribute positively to its adjusted and GAAP earnings per share (EPS) from the first full year following the merger.

This acquisition is expected to be accretive to Evercore's earnings in the first full year following the merger. Robey Warshaw's advisory services will complement Evercore's global platform, enhancing Evercore's UK market positioning and providing a boost to its operations in the EMEA region and beyond.

The acquisition of Robey Warshaw is subject to regulatory approvals and customary closing conditions, with the expectation that it will be completed in the second half of 2022. Evercore has agreed to acquire Robey Warshaw for a consideration of £146m ($196m).
