Zydus Wellness hires Khaitan, Bird & Bird law firms for £239 million purchase of Comfort Click UK

In a significant move, Zydus Wellness, a leading entity in the consumer wellness sector, has announced the acquisition of Comfort Click Limited (UK) for a total consideration of £239 million. The acquisition was executed by Zydus Wellness's subsidiary, Alidac UK Limited.

Zydus Wellness, established in 1988 and headquartered in Ahmedabad, specializes in the production of a diverse range of nutrition and skincare products. The flagship brands of Zydus Wellness include Complan, Sugar Free, Glucon-D, Everyuth, and Nycil.

The acquisition of Comfort Click Limited (UK) marks a strategic expansion for Zydus Wellness, as the company aims to strengthen its global presence. Alidac UK purchased 100% of Class A and Class B, 71.43% of Class C, and 66.67% of Class D shares of Comfort Click.

The legal due diligence for the transaction was carried out by a team at Zydus Wellness, led by Mukund Thakkar, the Senior Vice President – Legal. The team included Kalpit Lodha (General Manager), Randall Williams (Deputy Manager), and Mehul Chauhan (Legal).

For the employment due diligence, Deepak Kumar (Partner) and Archika Dudhwewala (Principal Associate) were involved, while Nishad Nadkarni (Partner) and Riya Karkera (Associate) handled the intellectual property aspects.

Khaitan & Co advised Zydus Wellness on this transaction, with Bhavik Narsana leading the team, assisted by Shweta Dwivedi, Pragya Mishra, and Kamayani Mittal. Anshuman Sakle and Ritika Ghosh provided competition-related advice for the transaction.

Bird & Bird LLP also provided assistance on English Law aspects for the acquisition. Mukund Thakkar led the Zydus Wellness legal team throughout the acquisition process.

This acquisition is expected to enhance Zydus Wellness's portfolio in the UK market and bolster its position as a global player in the consumer wellness sector.
